Senior Counsel, Global Trade and Regulatory Compliance , supports the Deputy General Counsel with trade compliance, transactional and supply chain/logistics compliance responsibilities. This position will lead the Company’s social compliance and audit program, as well as supporting broader compliance initiatives across the Company. The person in this position will also represent the Company on international trade regulatory matters, primarily related to the Company’s import activity. Finally, the position will provide legal advice as to our corporate structure to maximize operational, legal, and tax benefits while also ensuring regulatory compliance of our subsidiaries to support sustainable growth and mitigate legal and reputational risks.

Key Responsibilities :

Legal Compliance :

  • Maintain an ongoing and deep understanding of all relevant laws and regulations regarding social compliance that could impact the Company, including all transparency laws (ex. California Transparency in Supply Act and the UK Modern Slavery Act); Due Diligence laws (ex. The EU’s CSDDD); Trade Restrictions (ex. Forced Labor regulations in Mexico, the EU and Canada), anti-bribery (UK Bribery Act and the FCPA), and ensure the Company’s compliance with the same.
  • Provide legal and strategic advice to internal clients on compliance with U.S. export controls, U.S. customs laws, international import and export laws, and other legal and regulatory requirements. Translate complex customs regulations and rulings into clear requirements for business teams.
  • Collaborate cross-functionally with other teams across the Company, including Sourcing, Tax, Supply Chain, Finance/Treasury, Marketing, Merchandising, and Internal Audit to assess and mitigate import, international, and other compliance risks related to corporate structure, business initiatives and transactions.
  • Assist in the development, implementation, management, and continuous improvement of policies, processes, and controls intended to enhance the Company’s global trade compliance programs, including social compliance programs as well as remediation of issues identified in audits and investigations.
  • Develop and provide training and communications to associates and third parties on global trade compliance matters.
  • Anticipate regulatory changes and proactively advise leadership about how the Company should navigate through such changes.
  • Participate and assist with compliance committee and risk meetings
  • Develop, review, and advise on global trade compliance provisions in contracts.

Due Diligence

  • Establish and lead a best in class third party risk management program.
  • Work closely with internal and external partners to develop and lead our factory audit program strategy to ensure our vendors are complying with our Supplier Code of Conduct; analyze factory audit program data and act as appropriate. Communicate status of audits regularly to Sourcing and Production teams.
  • Continuously monitor global human rights risks and trends, and maintain a dashboard that organizes risk, mitigations, remediations, and reporting. Conduct ongoing evaluation of tools to support this responsibility.
  • Work with the Sourcing and Production teams to ensure that the Supplier Code of Conduct is up to date and embedded appropriately in our supply agreements and vendor contracts, including routine industry benchmarking as well as working with the Sourcing team and our suppliers to develop and implement programs mitigating human rights risks beyond the Tier 1 level.
  • Support the development and assist in updating audit program materials to ensure global consistency and rigor for auditors, audit firms and suppliers.
  • Participate in due diligence and integration planning for mergers, acquisitions, and joint ventures from a compliance perspective.

Government Affairs

  • Help identify the key external stakeholders, including industry peers, NGOs, international organizations, and government agencies, to establish relationships with same to support the Company’s strategy and business initiatives.
  • Represent the Company in industry associations and multi-stakeholder initiatives. Assume leadership role to drive collective industry efforts and facilitate and coordinate involvement in industry and multi-stakeholder initiatives. Represent Company on panels and at forums, when relevant.
  • Liaise with public relations and legal teams to track and provide input into global regulatory trends and address priority issues.
  • Work closely with the sustainability team to provide leadership and advocacy on behalf of the Company and our extended supply chain, raising awareness regarding the Company’s social compliance program.

Qualifications :

  • Experience interacting with government agencies having jurisdiction over compliance risk areas, especially the U.S. Department of Justice and Federal Trade Commission
  • Experience providing advice and counsel on compliance matters, including anti-money laundering and antitrust and competition law matters, with a focus on individual integrity and principled business conduct
  • Experience leading investigations into allegations of misconduct related to ethics and compliance matters
  • Proficient with data analytics and visualization
  • Juris Doctor
  • Licensed to practice law and in good standing with the state bar
  • 7-10 years’ experience
